Terms of Service

Version of 27 October 2026 · earlier version: 26 October 2026

CaviTech GmbH, Sterngasse 3/2/6, 1010 Vienna, Austria, FN 458635 p, Commercial Court of Vienna, VAT ID ATU71954717 ("Itogix", "we") provides the Itogix service to the business customer that accepts these Terms ("Customer", "you").

1. Scope

1.1 These Terms govern the use of the Itogix service (the "Service"). They apply together with the Data Processing Agreement (the "DPA"), which forms part of them. In case of conflict, the DPA prevails on the processing of personal data.

1.2 The Service is offered only to businesses (entrepreneurs within the meaning of section 1 of the Austrian Consumer Protection Act, KSchG, and comparable provisions of other laws), not to consumers. The person accepting these Terms confirms that they are authorised to bind the Customer. An accounting firm or another adviser may accept these Terms on behalf of the company whose books are shown; that company is then the Customer, and the firm acts as its representative and user. Whoever accepts on behalf of a company without being authorised is liable to Itogix for the resulting damage.

1.3 The Customer's own terms and conditions do not apply, even if Itogix does not object to them.

2. Conclusion of the contract

2.1 The contract is concluded when the Customer accepts these Terms and the DPA when starting Itogix on eu.itogix.com (ticking the box and confirming the code sent to its e-mail address), when an accounting firm adds the company on its behalf on firms.eu.itogix.com (ticking the box), or when Itogix confirms the Customer's request by e-mail (each is the "order"). Itogix keeps a record of the acceptance (date, e-mail address and version of the texts), confirms the conclusion by e-mail with links to the accepted versions, and keeps each version available at its own address on connect.eu.itogix.com.

2.2 Itogix may decline a request without giving reasons, in particular for a country, accounting program or fiscal year that the Service does not yet support.

3. The Service

3.1 Itogix prepares management reports from the Customer's accounting records and shows them to the Customer's users in a web dashboard: profit and loss, cash, balance sheet items, customers and suppliers, month-by-month comparisons, points that need attention, and downloads of the reports (Excel workbooks and presentation files). The functions are described on eu.itogix.com.

3.2 Data source, one per company: (a) Microsoft Dynamics 365 Business Central — the Customer registers the Itogix application in its Microsoft Entra tenant and grants it a read-only permission set; Itogix retrieves the data every night and on request; or (b) ledger exports uploaded by the Customer's users (or its accountant) in one of the formats supported at the time (SIE 4, XAF auditfile, SAF-T Financial, DATEV format, FEC), typically once a month after the month is closed.

3.3 Each company has its own environment (the "Environment"), hosted in Germany. The Customer may invite any number of users. There are two roles: administrators (users, data source and settings) and users (view the reports and download them). The Customer's administrator manages the users. The web address of the Environment contains a short form of the company's name; like every web address with a TLS certificate, it may be listed in public certificate-transparency logs.

3.4 Before a month is shown as final, the Service reconciles it with the totals and balances of the source (the Business Central trial balance; for exports, the totals contained in the file where the format provides them) and says on the screen when a month does not reconcile or is incomplete.

3.5 Itogix develops the Service further and may change its functions, design and supported formats, provided the essential functions described in clause 3.1 remain available for the Customer's data source. Itogix announces changes that materially reduce the Service at least 30 days in advance; the Customer may then terminate under clause 9.3.

4. What the Service is not

4.1 The Service calculates and presents figures derived from the Customer's accounting records. It does not keep the books, does not replace the Customer's accounting program, its financial statements or tax returns, and does not provide accounting, tax, legal or investment advice. Commentary in the Service (for example points that need attention) is an automated reading of the figures, not advice.

4.2 The figures can only be as complete and correct as the source data. The Customer remains responsible for its bookkeeping, for the data it uploads or makes available, and for decisions it takes on the basis of the reports.

5. Trial

5.1 The first three months of each Environment are free of charge (the "trial"). No payment details are required for the trial.

5.2 The trial ends automatically. If the Customer wishes to continue, it confirms this by e-mail to hello@itogix.com before the end of the trial; the paid subscription then starts on the day after the trial. Without confirmation the contract ends with the trial, and the Environment is deleted as set out in clause 10. Using the Service after the trial without that confirmation does not start a paid subscription.

6. Fees and payment

6.1 The fee is EUR 99 per company (Environment) per month; for customers in Sweden SEK 1 100 and in Norway NOK 1 050. Fees are plus VAT where applicable. The fee covers all functions of the Service and any number of users.

6.2 Itogix invoices monthly in advance by e-mail. Invoices are payable within 14 days without deduction. For customers in another EU Member State and in Norway the reverse-charge procedure applies: the Customer accounts for the VAT and provides its valid VAT identification number (in Norway its organisation number). For other customers outside the EU, VAT is charged as the law requires.

6.3 If the Customer is more than 30 days in arrears after a reminder, Itogix may suspend access to the Service after 14 days' notice by e-mail; the data are kept during the suspension.

6.4 Itogix may change the fee with at least 60 days' notice by e-mail, effective at the start of a billing period. If the Customer does not agree, it may terminate the contract with effect from the date of the change.

7. The Customer's obligations

7.1 The Customer:

7.2 The Customer is responsible for the acts of its users as for its own.

8. Availability and support

8.1 Itogix operates the Service with the care customary in the trade and monitors it around the clock by automated checks. No specific availability level is committed. Planned maintenance that interrupts access is announced in advance where possible.

8.2 Support is provided by e-mail at hello@itogix.com in English on Austrian working days. Itogix aims to answer within one working day. Please upload ledger exports in the Service and do not send them by e-mail; files sent to the support address are deleted and not processed.

8.3 Itogix is not responsible for the availability of third-party services that the Customer uses with the Service (for example Microsoft Business Central and Microsoft Entra, or the accounting program that produces the exports), nor for changes to their interfaces or export formats. Itogix adapts the Service to such changes within a reasonable time.

9. Term and termination

9.1 The contract runs for an indefinite period, starting with the trial (clause 5).

9.2 The Customer may terminate at any time with effect from the end of the current month by e-mail to hello@itogix.com. Fees already paid for the current month are not refunded.

9.3 Itogix may terminate with 30 days' notice to the end of a month. Either party may terminate for good cause without notice, in particular Itogix if the Customer seriously breaches clause 7.1(a) or (d) or remains in arrears for more than 60 days.

9.4 Termination of the contract for one company does not affect the contract for other companies.

10. End of the contract: export and deletion

10.1 Until the end of the contract the Customer can download its reports from the Service at any time. On request made before the end of the contract, Itogix provides an export of the reports held in the Service in Excel format.

10.2 Itogix deletes the Environment — reports, imported data, uploaded exports, users and logs — within 30 days after the end of the contract; backup copies are deleted at the latest 14 days after that, plus up to 7 days for the hosting provider's server backups, as set out in clause 9 of the DPA. Itogix confirms the deletion in writing on request. The Customer may ask for earlier deletion at any time.

10.3 Itogix keeps the data it needs as the Customer's contractual partner (acceptance of these Terms, invoices, correspondence) for as long as commercial and tax law requires.

11. Data protection and confidentiality

11.1 Itogix processes personal data contained in the Customer's data as the Customer's processor under the DPA. Itogix processes the contact and billing data of the Customer's representatives as controller, as described in its privacy notice.

11.2 Itogix uses the Customer's data only to provide the Service to the Customer. It does not sell them, does not use them to train artificial-intelligence models and does not pass them to other customers. Itogix may use anonymised, aggregated technical metrics (for example processing times and error rates) to operate and improve the Service.

11.3 Each party keeps confidential the other party's non-public information that it receives in connection with the contract, during the contract and for three years after it ends, unless the information is or becomes public without breach, or disclosure is required by law.

12. Rights

12.1 The Customer keeps all rights in its data. The reports and downloads produced for the Customer may be used by the Customer without restriction, including after the end of the contract.

12.2 All rights in the Service, the software and its documentation remain with Itogix. For the term of the contract the Customer receives a non-exclusive, non-transferable right to use the Service for its own business purposes.

12.3 Suggestions the Customer makes for improving the Service may be used by Itogix without restriction or payment.

13. Warranty

13.1 Itogix provides the Service essentially as described in clause 3. If the Service does not work as described, the Customer informs Itogix with a description of the problem; Itogix remedies the defect within a reasonable time. If the remedy fails, the Customer may reduce the fee for the affected period or terminate the contract for good cause.

13.2 Itogix does not warrant that the source data are complete or correct, nor that the Service meets requirements that are not described in clause 3.

14. Liability

14.1 Itogix is liable without limitation for damage caused intentionally or by gross negligence and for personal injury.

14.2 For slight negligence Itogix is liable only for breach of an essential contractual obligation and only for the typical, foreseeable damage, in total up to the fees paid by the Customer in the twelve months before the event causing the damage. Liability for lost profit, indirect and consequential damage is excluded in cases of slight negligence.

14.3 For the loss of data Itogix is liable only for the effort of restoring them from the backups described in the DPA.

14.4 Liability under Article 82 GDPR and mandatory statutory liability remain unaffected. Claims for damages lapse one year after the Customer learns of the damage and of the party liable, at the latest three years after the event, unless caused intentionally or by gross negligence.

15. Changes to these Terms

Itogix may change these Terms with at least 30 days' notice by e-mail, stating the changes. If the Customer does not object in writing before the changes take effect, the changes are accepted; Itogix points this out in the notice. If the Customer objects, either party may terminate the contract with effect from the date of the change. Changes to the fee follow clause 6.4.

16. Final provisions

16.1 These Terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

16.2 The courts in Vienna, Inner City, having subject-matter jurisdiction have exclusive jurisdiction. Itogix may also sue the Customer at its registered office.

16.3 Declarations under the contract may be made in text form (e-mail suffices). Notices to Itogix go to hello@itogix.com, notices to the Customer to the e-mail address of its administrator.

16.4 The Customer may assign the contract only with Itogix's consent. Itogix may assign the contract to an affiliate or to a successor of the Service, with notice to the Customer.

16.5 If a provision is invalid, the remaining provisions remain in force; the invalid provision is replaced by a valid one that comes closest to its economic purpose.

16.6 These Terms are made in English.
